Common use of Opinion of Underwriters’ Counsel Clause in Contracts

Opinion of Underwriters’ Counsel. The Underwriter shall have received from Xxxxx Xxxxx L.L.P., counsel for the Underwriter, such opinion or opinions, dated such Delivery Date, with respect to the offer and sale of the Units, the Registration Statement, the Prospectus and the Pricing Disclosure Package and other related matters as the Underwriter may reasonably require, and the Partnership shall have furnished to such counsel such documents as they may reasonably request for the purpose of enabling them to pass upon such matters.

Opinion of Underwriters’ Counsel. The Underwriter Representatives shall have received from Xxxxx Xxxxx L.L.P., counsel for the UnderwriterUnderwriters, such opinion or opinions, dated such Delivery Date, with respect to the offer issuance and sale of the Units, the Registration Statement, the Prospectus and the Pricing Disclosure Package and other related matters as the Underwriter Representatives may reasonably require, and the Partnership shall have furnished to such counsel such documents as they may reasonably request for the purpose of enabling them to pass upon such matters.

The Underwriter Underwriters shall have received from Xxxxx Xxxxx L.L.P.an opinion and negative assurance letter, dated the Closing Date, of Skadden, Arps, Slate, Xxxxxxx & Xxxx LLP, counsel for the Underwriter, such opinion or opinions, dated such Delivery DateUnderwriters, with respect to the offer and sale incorporation of the UnitsCompany, the validity of the Offered Securities delivered on such Closing Date, the Registration Statement, the Prospectus General Disclosure Package and the Pricing Disclosure Package Prospectus and other related matters as the Underwriter Underwriters may reasonably require, and the Partnership Company shall have furnished to such counsel such documents as they may reasonably request for the purpose of enabling them to pass upon such matters.
