Common use of Opinion of Underwriters’ Counsel Clause in Contracts

Opinion of Underwriters’ Counsel. At the Closing Date and in connection with any Option Closing Date, the Representative shall have received the opinion and negative assurance letter, dated the Closing Date or Option Closing Date, as applicable, of Xxxxxxxx & Xxxxxxxx LLP, counsel for the several Underwriters.

Opinion of Underwriters’ Counsel. At the Closing Date and in connection with any Option Closing Date, the Representative Representatives shall have received the opinion and negative assurance letter, dated the Closing Date or Option Closing Date, as applicable, of Xxxxxxxx Dxxxxx & Xxxxxxxx Wxxxxxx LLP, counsel for the several Underwriters.
