Common use of Opinion of United States Counsel for the Initial Purchasers Clause in Contracts

Opinion of United States Counsel for the Initial Purchasers. At the Closing Time, the Initial Purchasers shall have received the favorable opinion, dated as of the Closing Time, of Shearman & Sterling, counsel for the Initial Purchasers, with respect to certain of the matters set forth in Exhibit D hereto and to such other effect as the Initial Purchasers and such counsel may reasonably agree.

At the Closing Time, the Initial Purchasers shall have received the favorable opinion, dated as of the Closing Time, of Shearman & Sterling, U.S. counsel for the Initial Purchasers, together with signed or reproduced copies of such letter for each of the other Initial Purchasers, with respect to certain of the matters set forth in Exhibit D hereto and to such other effect as the Initial Purchasers and such counsel may reasonably agreeB hereto.
