Common use of Opinion of United States Counsel for the Underwriters Clause in Contracts

Opinion of United States Counsel for the Underwriters. The Representatives shall have received from Xxxxxxxx & Xxxxx International LLP, United States counsel for the Underwriters, such opinion or opinions, dated such Closing Date, with respect to such matters as the Representatives may require, and the Company shall have furnished to such counsel such documents as they request for the purpose of enabling them to pass upon such matters.

Opinion of United States Counsel for the Underwriters. The Representatives shall have received from Xxxxx Xxxx & Xxxxxxxx & Xxxxx International LLP, United States counsel for the Underwriters, such opinion or opinions, dated such Closing Date, with respect to such matters as the Representatives may require, and the Company shall have furnished to such counsel such documents as they request for the purpose of enabling them to pass upon such matters.

Opinion of United States Counsel for the Underwriters. The Representatives At the Closing Time, the Representative shall have received from Xxxxxxxx the favorable opinion, dated as of such date, of Xxxxxx & Xxxxx International Xxxxxxx LLP, United States counsel for the Underwriters, together with signed or reproduced copies of such opinion or opinionsfor each of the Underwriters, dated in form and substance satisfactory to the Representative. Such counsel may also state that, insofar as such Closing Dateopinion involves factual matters, with respect they have relied, to such matters as the Representatives may requireextent they deem proper, upon certificates of officers of the Company and the Company shall have furnished to such counsel such documents as they request for the purpose Subsidiaries and certificates of enabling them to pass upon such matterspublic officials.

The Representatives shall have received an opinion or opinions from Xxxxx Xxxx & Xxxxxxxx & Xxxxx International LLP, United States counsel for the Underwriters, such opinion or opinions, dated such Closing Date, with respect to such matters as the Representatives may require, and the Company shall have furnished to such counsel such documents as they request for the purpose of enabling them to pass upon such matters.

The Representatives shall have received an opinion or opinions and disclosure letter from Xxxxxxx Xxxxxxx & Xxxxxxxx & Xxxxx International LLP, United States counsel for the Underwriters, such opinion or opinions, dated such Closing Date, with respect to such matters as the Representatives may require, and the Company shall have furnished to such counsel such documents as they request for the purpose of enabling them to pass upon such matters.

Opinion of United States Counsel for the Underwriters. The Representatives Representative shall have received from Xxxxxxxx on and as of the Closing Date or the Additional Closing Date, as the case may be, opinions of Xxxxx Xxxx & Xxxxx International LLPXxxxxxxx, United States counsel for the Underwriters, such opinion or opinions, dated such Closing Date, with respect to such matters as the Representatives Representative may requirereasonably request and in form and substance satisfactory to the Representative, and the Company such counsel shall have furnished to such counsel received such documents and information as they may reasonably request for the purpose of enabling to enable them to pass upon such matters.

The Representatives shall have received from Xxxxxxxx on and as of the Closing Date or the Additional Closing Date, as the case may be, an opinion of Xxxxx Xxxx & Xxxxx International LLPXxxxxxxx, United States counsel for the Underwriters, such opinion or opinions, dated such Closing Date, with respect to such matters as the Representatives may require, reasonably request and the Company shall have furnished to such counsel such documents in form attached as they request for the purpose of enabling them to pass upon such matters.Exhibit A hereto. 44
