Common use of Opinion of United States Counsel for the Underwriters Clause in Contracts

Opinion of United States Counsel for the Underwriters. On each of the First Closing Date and each Option Closing Date the Representatives shall have received the opinion of Xxxxxxxxx & Xxxxxxx LLP, United States counsel for the Underwriters in connection with the offer and sale of the Offered Shares, in form and substance satisfactory to the Underwriters, dated as of such date.

On each of the First Closing Date and each Option Closing Date Date, the Representatives Representative shall have received the opinion of Xxxxxxxxx Xxxxxxxx & Xxxxxxx Xxxxx International LLP, United States counsel for the Underwriters in connection with the offer and sale Underwriters, dated as of the Offered Sharessuch date, in form and substance satisfactory to the Underwriters, dated as of such date.

On each of the First Closing Date and each Option Closing Date Date, the Representatives shall have received the opinion of Xxxxxxxxx & Xxxxxxx LLP, United States counsel for the Underwriters in connection with the offer and sale of the Offered Shares, in form and substance satisfactory to the Underwriters, dated as of such date.

On each of the First Closing Date and each Option Closing Date Date, the Representatives Representative shall have received the opinion and negative assurance letter of Xxxxxxxxx Sxxxxxx Xxxx, Slate, Mxxxxxx & Xxxxxxx Fxxx LLP, United States U.S. counsel for the Underwriters in connection with the offer and sale of the Offered Shares, in form and substance satisfactory to the UnderwritersRepresentative, dated as of such date.

On each of the First Closing Date and each Option Closing Date the Representatives Representative shall have received the opinion of Xxxxxxxxx & Xxxxxxx LLPXxxxxxxx Chance, United States counsel for the Underwriters in connection with the offer and sale of the Offered SharesADSs, in form and substance satisfactory to the Underwriters, dated as of such date, with executed copies for each of the other Underwriters named on the Prospectus cover page.
