Common use of Opinion of U.S. Counsel for Underwriters Clause in Contracts

Opinion of U.S. Counsel for Underwriters. The Representatives shall have received from Xxxxxxx Procter LLP, U.S. counsel for the Underwriters, such opinion or opinions, dated such Closing Date, with respect to such matters as the Representatives may require, and the Company shall have furnished to such counsel such documents as they reasonably request for the purpose of enabling them to pass upon such matters.

Opinion of U.S. Counsel for Underwriters. The Representatives shall have received from Skadden, Arps, Slate, Xxxxxxx Procter & Xxxx LLP, U.S. counsel for the Underwriters, such opinion or opinions, dated such Closing Date, with respect to such matters as the Representatives may require, and the Company shall have furnished to such counsel such documents as they reasonably request with reasonable advance notice for the purpose of enabling them to pass upon such matters.

Opinion of U.S. Counsel for Underwriters. The Representatives shall have received from Skadden, Arps, Slate, Xxxxxxx Procter & Xxxx LLP, U.S. counsel for the Underwriters, such opinion or opinions, dated such Closing Date, with respect to such matters as the Representatives may require, and the Company shall have furnished to such counsel such documents as they reasonably request for the purpose of enabling them to pass upon such matters.

Opinion of U.S. Counsel for Underwriters. The Representatives You shall have received from Xxxxxxx Procter Xxxxxxx & Xxxxxxxx LLP, U.S. counsel for the Underwriters’ U.S. counsel, such opinion or opinionsopinions and 10b-5 letter, dated as of such Closing Date, with respect to such matters as the Representatives they may require, and the Company shall have furnished to such counsel such documents as they reasonably request for the purpose of enabling them such counsel to pass upon such matters.

Opinion of U.S. Counsel for Underwriters. The Representatives Representative shall have received from Xxxxxxx Procter O’Melveny & Xxxxx LLP, U.S. counsel for the Underwriters, such opinion or opinions, dated such Closing Date, with respect to such matters as the Representatives Representative may require, and the Company shall have furnished to such counsel such documents as they reasonably request for the purpose of enabling them to pass upon such matters.

Opinion of U.S. Counsel for Underwriters. The Representatives You shall have received from Xxxxxxx Procter Xxxxxxx & Xxxxxxxx LLP, U.S. counsel for the Underwriters’ U.S. counsel, such opinion or opinions, dated as of such Closing Date, with respect to such matters as the Representatives they may require, and the Company shall have furnished to such counsel such documents as they reasonably request for the purpose of enabling them such counsel to pass upon such matters.
