On the Closing Date, the Owner Participant shall have received the opinion of Xxxxxxx Xxxxxxx & Xxxxxxxx LLP, addressed to the Owner Participant, in form and substance satisfactory to the Owner Participant, containing such counsel's favorable opinion with respect to such tax matters as the Owner Participant may reasonably request.
