Common use of Opinions as to Assets Clause in Contracts

Opinions as to Assets. On or before March 31 in each calendar year, commencing in 2014, the Issuer shall furnish to the Trustee and Xxxxx'x an Opinion of Counsel relating to the security interest granted by the Issuer to the Trustee, stating that, as for the date of such opinion, the lien and security interest created by this Indenture with respect to the Assets remain in effect and that no further action (other than as specified in such opinion) needs to be taken to ensure the continued effectiveness of such lien over the next year.

Opinions as to Assets. On or before March 31 July 30th in each calendar year, commencing in 20142011, the Issuer shall furnish to the Trustee and Xxxxx'x Xxxxx’x an Opinion of Counsel relating to the security interest granted by the Issuer to the Trustee, stating that, as for of the date of such opinion, the lien and security interest created by this Indenture with respect to the Assets remain in effect and that no further action (other than as specified in such opinion) needs to be taken to ensure the continued effectiveness of such lien over the next year.

On or before March 31 July 31st in each calendar year, commencing in 20142012, the Issuer shall furnish to the Trustee and Xxxxx'x Moody’s an Opinion of Counsel relating to the security interest granted by the Issuer to the Trustee, stating that, as for of the date of such opinion, the lien and security interest created by this Indenture with respect to the Assets remain in effect and that no further action (other than as specified in such opinion) needs to be taken to ensure the continued effectiveness of such lien over the next year.

On or before March 31 July 20th in each calendar year, commencing in 2014, the Issuer shall furnish to the Trustee and Xxxxx'x Mxxxx’x an Opinion of Counsel relating to the security interest granted by the Issuer to the Trustee, stating that, as for of the date of such opinion, the lien and security interest created by this Indenture with respect to the Assets remain in effect and that no further action (other than as specified in such opinion) needs to be taken to ensure the continued effectiveness of such lien over the next year.

On or before March 31 September 25 in each calendar year, commencing in 2014, the Issuer shall furnish to the Trustee and Xxxxx'x S&P an Opinion of Counsel relating to the security interest granted by the Issuer to the Trustee, stating that, as for of the date of such opinion, the lien and security interest created by this Indenture with respect to the Assets remain in effect and that no further action (other than as specified in such opinion) needs to be taken to ensure the continued effectiveness of such lien over the next year.

On or before March 31 September 29th in each calendar year, commencing in 20142017, the Issuer shall furnish to the Trustee and Xxxxx'x S&Pthe Rating Agencies an Opinion of Counsel relating to the security interest granted by the Issuer to the Trustee, stating that, as for of the date of such opinion, the lien and security interest created by this Indenture with respect to the Assets remain in effect and that no further action (other than as specified in such opinion) needs to be taken to ensure the continued effectiveness of such lien over the next year.

On or before March 31 May 28th in each calendar year, commencing in 20142016, the Issuer shall furnish to the Trustee and Xxxxx'x (with copies to the Rating Agencies) an Opinion of Counsel relating to the security interest granted by the Issuer to the Trustee, stating that, as for of the date of such opinion, the lien and security interest created by this Indenture with respect to the Assets remain in effect and that no further action (other than as specified in such opinion) needs to be taken to ensure the continued effectiveness of such lien over the next year.

Opinions as to Assets. On or before March 31 July 9th in each calendar year, commencing in 20142020, the Issuer shall furnish to the Trustee and Xxxxx'x the Rating Agency an Opinion of Counsel relating to the security interest granted by the Issuer to the Trustee, stating that, as for of the date of such opinion, the lien and security interest created by this Indenture with respect to the Assets remain in effect and that no further action (other than as specified in such opinion) needs to be taken to ensure the continued effectiveness of such lien over the next year.
