OPINIONS OF ADMINISTRATIVE AGENT'S COUNSEL. Administrative Agent on behalf of Lenders, with sufficient originally executed copies for each Lender, shall have received originally executed copies of one or more favorable written opinions of O'Melveny & Myers, counsel to Administrative Agent, dated as of the Effxxxxxe Date, substantially in the form of Exhibit IX annexed hereto and as to such other matters as Administrative Agent may reasonably request.

The Administrative Agent on behalf of Lenders, with sufficient originally executed copies for each Lender, shall have received originally executed copies for each Agent and Lender of one or more favorable written opinions of O'Melveny Skadden, Arps, Slate, Xxxxxxx & MyersXxxx LLP, special counsel to the Administrative Agent, dated as of the Effxxxxxe Closing Date, substantially in the form of Exhibit IX XI annexed hereto and as to such other ---------- matters as the Administrative Agent acting on behalf of the Lenders may reasonably request.
