OPINIONS OF COMPANY'S COUNSEL. The Investors shall have received from British Virgin Islands and PRC counsel to the Group Companies opinions addressed to the Investors, dated the date of the Closing, in form and substance satisfactory to the Investors.
OPINIONS OF COMPANY'S COUNSEL. Lenders and their respective counsel shall have received (i) originally executed copies of one or more favorable written opinions of Pircher, Xxxxxxx & Xxxxx, counsel for Company, in form and substance reasonably satisfactory to Agent and its counsel, dated as of the Closing Date and setting forth substantially the matters in the opinions designated in Exhibit VI annexed hereto and as to such other matters as Agent ---------- acting on behalf of Lenders may reasonably request and (ii) evidence satisfactory to Agent that Company has requested such counsel to deliver such opinions to Lenders.
OPINIONS OF COMPANY'S COUNSEL. Lenders and their respective counsel shall have received (i) originally executed copies of the favorable written opinion of Morgan, Lewis & Bockius LLP, counsel for Companx, xx xxxx and xxxxxance reasonably satisfactory to Administrative Agent and its counsel, dated as of the Effective Date and setting forth substantially the matters in the opinions designated in Exhibit VII annexed hereto and as to such other matters as Administrative Agent acting on behalf of Lenders may reasonably request and (ii) opinions from special counsel to Company (including admiralty counsel) with respect to such matters governed by the laws of the states of Nevada, Illinois, Louisiana, Missouri, Kentucky and New Jersey and by maritime law as Administrative Agent acting on behalf of Lenders may reasonably request.
OPINIONS OF COMPANY'S COUNSEL. The Agent and its counsel shall have received (i) executed copies of a favorable written opinion of Andrxxx & Xurtx X.X.P., counsel for the Company, in form and substance reasonably satisfactory to the Agent and its counsel, dated as of the Closing Date and setting forth substantially the matters in the opinions designated in Exhibit V-A annexed hereto and (ii) executed copies of a favorable written opinion of Andrxxx & Xurtx X.X.P. regarding Section 1110 of the Bankruptcy Code, dated the Closing Date and setting forth substantially the matters in the opinions designated in Exhibit V-B annexed hereto.
OPINIONS OF COMPANY'S COUNSEL. Opinions addressed to the Administrative Agent and the Banks from Xxxxxxxxx & Xxxxxxxxx, L.L.P. and the General Counsel to the Company, as to such matters as the Administrative Agent may reasonably request; and

Agent shall have received, for distribution to Lenders and their respective counsel, originally executed copies of one or more favorable written opinions of Akin, Gump, Strauss, Xxxxx & Xxxx, L.L.P., counsel for Company, in form and substance reasonably satisfactory to Agent and its counsel, dated as of the applicable Additional Credit Facility Closing Date and setting forth substantially such matters as Agent acting on behalf of Lenders may reasonably request.
OPINIONS OF COMPANY'S COUNSEL. The Purchasers shall have received from Xxxx and Xxxx LLP and Dike, Bronstein, Xxxxxxx & Xxxxxxx, LLP opinions, dated the date of the Closing, substantially in the forms attached hereto as Exhibits H-1 and H-2, respectively.
OPINIONS OF COMPANY'S COUNSEL. Administrative Agent shall have received, for distribution to Lenders and their respective counsel, originally executed copies of one or more favorable written opinions of Akin, Gump, Strauss, Xxxxx & Xxxx, L.L.P., counsel for Company, in form and substance reasonably satisfactory to Administrative Agent and its counsel, dated as of the applicable Additional Credit Facility Closing Date and setting forth substantially such matters as Administrative Agent acting on behalf of Lenders may reasonably request.
OPINIONS OF COMPANY'S COUNSEL. The Lender and its counsel shall have received originally executed copies of one or more favorable written opinions of the general counsel and special New York counsel for the Company, in form and substance reasonably satisfactory to the Lender and its counsel, dated as of the Closing Date and setting forth substantially the matters in the opinions designated in Exhibit V and otherwise reasonably satisfactory to the Lender.
OPINIONS OF COMPANY'S COUNSEL. TDC shall have received (i) from Xxxxxx & Xxxxx, counsel to the Company, an opinion addressed to TDC, dated the Closing Date, in form and substance acceptable to TDC and its counsel and including opinions substantially in the form of the representations and warranties set forth in Sections 3.1, 3.2, 3.3, 3.5, 3.6, 3.10(b), 3.11, and 3.14 and the first and second sentences of Section 3.17, and (ii) from Flehr, Hohbach, Test, Xxxxxxxxx & Xxxxxxx, patent counsel to the Company, an opinion addressed to TDC, dated the Initial Closing Date in form and substance acceptable to TDC's counsel and including opinions substantially in the form of the representations and warranties set forth in Section 3.13 of this Agreement.
