Common use of Opinions of Counsel and 10b-5 Statement Clause in Contracts

Opinions of Counsel and 10b-5 Statement. (1) Xxxxxxxx, Lipton, Xxxxx & Xxxx, counsel for the Company, shall have furnished to the Representatives, at the request of the Company, their written opinion and 10b-5 statement and (2) Xxxx X. Xxxxx, Executive Vice President and Chief Legal, Risk and Regulatory Officer of the Company, shall have furnished to the Underwriters his written opinion, in each case dated the Closing Date and addressed to the Underwriters, in form and substance reasonably satisfactory to the Representatives.

Opinions of Counsel and 10b-5 Statement. (1) XxxxxxxxWachtell, Lipton, Xxxxx & Xxxx, United States counsel for the Company, shall have furnished to the Representatives, at the request of the Company, their written opinion and 10b-5 statement and (2) Xxxx Xxxxxx X. XxxxxXxxxxx, Executive Vice President and Chief Legal, Risk and Regulatory Officer General Counsel of the Company, shall have furnished to the Underwriters his written opinion, in each case dated the Closing Date and addressed to the Underwriters, in form and substance reasonably satisfactory to the Representatives.

(1) XxxxxxxxSkadden, LiptonArps, Xxxxx Slate, Xxxxxxx & XxxxXxxx LLP, United States counsel for the Company, shall have furnished to the RepresentativesRepresentative, at the request of the Company, their written opinion and 10b-5 statement and (2) Xxxx Xxxxxx X. XxxxxXxxxxx, Executive Vice Vice-President and Chief Legal, Risk and Regulatory Officer General Counsel of the Company, shall have furnished to the Underwriters his written opinion, in each case dated the Closing Date and addressed to the Underwriters, in form and substance reasonably satisfactory to the RepresentativesRepresentative.
