Common use of Opinions of Counsel Delivered Under Related Agreements Clause in Contracts

Opinions of Counsel Delivered Under Related Agreements. Administrative Agent and its counsel shall have received copies of each of the opinions of counsel delivered to the parties under the Related Agreements, together with a letter from each such counsel (to the extent not inconsistent with such counsel's established internal policies) authorizing Lenders to rely upon such opinion to the same extent as though it were addressed to Lenders.

Opinions of Counsel Delivered Under Related Agreements. Administrative Agent and Syndication Agent and its counsel shall have received copies of each of the opinions of counsel delivered to the parties under the Related Agreements, together with a letter from each such counsel (to the extent not inconsistent with such counsel's established internal policies) authorizing Lenders to rely upon such opinion to the same extent as though it were addressed to Lenders.

To the extent requested by Administrative Agent, Administrative Agent and its counsel shall have received copies of each of the opinions of counsel delivered to the parties under any Related Agreements entered into after the Related AgreementsClosing Date, including, without limitation, the Senior Subordinated Note Indenture and the Holdings Note Purchase Agreement, together with a letter from each such counsel (to the extent not inconsistent with such counsel's established internal policies) authorizing Agents and Lenders to rely upon such opinion to the same extent as though it were addressed to Agents and Lenders.

Opinions of Counsel Delivered Under Related Agreements. Administrative Agent and its counsel shall have received copies of each of the opinions of counsel delivered to the parties under the Related AgreementsAgreements delivered on or prior to the Closing Date, together with a letter from each such counsel (to the extent not inconsistent with such counsel's established internal policies) authorizing Lenders to rely upon such opinion to the same extent as though it were addressed to Lenders.

Administrative Agent and Arranging Agent and its counsel shall have received copies of each of the opinions of counsel delivered to the parties under the Related AgreementsAcquisition Agreement, together the Merger Agreement and the purchase or subscription agreements relating to the Senior Subordinated Notes and the Holdings Common Stock and Holdings Preferred Stock, together, to the extent agreed to by such law firm, with a letter from each such counsel (to the extent not inconsistent with such counsel's established internal policies) authorizing Lenders to rely upon such opinion to the same extent as though it were addressed to Lenders.

Administrative Agent and Arranging Agent and its counsel shall have received copies of each of the opinions of counsel delivered to the parties under the Related AgreementsAcquisition Agreement and the purchase or subscription agreements relating to the Senior Subordinated Notes and the Holdings Common Stock and Holdings Preferred Stock, together together, to the extent agreed to by such law firm, with a letter from each such counsel (to the extent not inconsistent with such counsel's established internal policies) authorizing Lenders to rely upon such opinion to the same extent as though it were addressed to Lenders.

Administrative Agent Agents and its their counsel shall have received copies of each of the opinions of counsel delivered to the parties under the Related Agreements, if any as of the Effective Date, together with a letter from each such counsel (to the extent not inconsistent with such counsel's established internal policies) authorizing Lenders and Agents to rely upon such opinion to the same extent as though it were addressed to LendersLenders and Agents.
