Opinions of counsel for Borrower. A favorable opinion of Paul, Hastings, Xxxxxxxx & Xxxxxx LLP, counsel for the Borrower and for the Guarantors that are Delaware Persons, in substantially the form of Exhibit C and as to such other matters as the Agent may reasonably request and of Xxxxxx Xxxxxx & Zavis, Illinois counsel for the Borrower, in substantially the form of Exhibit D and as to such other matters as the Agent may reasonably request;
