Xxxxxxxx, Executive Vice President, General Counsel and Secretary of the Company, and Xxxxxxx LLP, Maryland counsel to the Company, each in form and substance satisfactory to counsel for the Underwriters, dated such Date of Delivery, relating to the Option Securities to be purchased on such Date of Delivery and otherwise to the same effect as the respective opinions required by Section 5(b) hereof, and including, if applicable, the Separate Opinion (as defined in the last paragraph of Exhibit C hereto) of such Maryland counsel which shall comply with the requirements of the last paragraph of Exhibit C.
