Common use of Opinions of Counsel for Company Clause in Contracts

Opinions of Counsel for Company. At the Closing Time, the Representatives shall have received the favorable opinions, dated the Closing Time, of Fried Frank, Harris, Xxxxxxx & Xxxxxxxx LLP, counsel for the Company, and of Dechert LLP, counsel for the Company and the Company’s independent directors, in each case, in form and substance reasonably satisfactory to counsel for the Underwriters, together with signed or reproduced copies of such letters for each of the other Underwriters to the effect set forth in Exhibit A-1 and Exhibit A-2 hereto and to such further effect as counsel to the Underwriters may reasonably request. Such counsels may state that insofar as such opinions involve factual matters, they have relied upon certificates of officers of the Company and certificates of public officials.

Opinions of Counsel for Company. At the Closing Time, the Representatives shall have received the favorable opinions, dated the Closing Time, of Fried Frank, Harris, Xxxxxxx & Xxxxxxxx Proskauer Rose LLP, counsel for the Company, and of Dechert Xxxxxxxx & Xxxxxxxx LLP, special regulatory counsel for the Company Company, and Xxxxxxx LLP, special Maryland counsel for the Company’s independent directors, in each case, in form and substance reasonably satisfactory to counsel for the Underwriters, together with signed or reproduced copies of such letters for each of the other Underwriters to the effect set forth in Exhibit A-1 X-0, Xxxxxxx X-0 and Exhibit A-2 A-3 hereto and to such further effect as counsel to the Underwriters may reasonably request. Such counsels may state that insofar as such opinions involve factual matters, they have relied upon certificates of officers of the Company and certificates of public officials.

Opinions of Counsel for Company. At the Closing Time, the Representatives shall have received (i) the favorable opinions, dated the Closing Time, opinion and negative assurance letter of Fried Frank, Harris, Xxxxxxx Xxxxxx & Xxxxxxxx Xxxxxx LLP, New York counsel for the Company, and (ii) the favorable opinion of Dechert LLPXxxxxx Xxxxxx & Xxxxxxxx, United Kingdom counsel for the Company and the Company’s independent directors, in each case, in form and substance reasonably satisfactory to counsel for the Underwriters, each dated the Closing Time, together with signed or reproduced copies of such letters for each of the other Underwriters to the effect set forth in Exhibit A-1 A and Exhibit A-2 B hereto and to such further effect as counsel to the Underwriters may reasonably request.
