Common use of Opinions of Counsel for the Fund and the Advisers Clause in Contracts

Opinions of Counsel for the Fund and the Advisers. The favorable opinions of counsel for the Fund, substantially in the form set forth in Exhibit A hereto, of the Investment Adviser, substantially in the form set forth in Exhibit B hereto and of the Sub-Adviser, substantially in the form set forth in Exhibit C hereto, each dated such Date of Delivery, relating to the Option Securities to be purchased on such Date of Delivery and otherwise to the same effect as the opinion required by Section 5(b) hereof.

Opinions of Counsel for the Fund and the Advisers. The favorable opinions of counsel for the Fund, substantially in the form forms set forth in Exhibit A [and Exhibit B] hereto, of the Investment Adviser, substantially in the form set forth in Exhibit B hereto and of the Sub-AdviserAdvisers, substantially in the form set forth in Exhibit C hereto, and the Fund’s Massachusetts counsel, substantially in the form set forth in Exhibit D hereto, each dated such Date of Delivery, relating to the Option Securities to be purchased on such Date of Delivery and otherwise to the same effect as the opinion opinions required by Section 5(b) hereof.
