Common use of Opinions of Counsel for the Fund and the Advisers Clause in Contracts

Opinions of Counsel for the Fund and the Advisers. At Closing Time, the Representative shall have received the favorable opinions, dated as of Closing Time, of Xxxxxxxxxxx and Xxxxxxxx LLP, counsel for the Fund and of Xxxxxxx Xxxx & Xxxxxxxxx, counsel to the Advisers, in form and substance satisfactory to counsel for the Underwriters, together with signed or reproduced copies of such letters for each of the other Underwriters as to the matters set forth in EXHIBIT A and EXHIBIT B hereto.

Opinions of Counsel for the Fund and the Advisers. At Closing Time, the Representative Representatives shall have received the favorable opinions, dated as of Closing Time, of Xxxxxxxxxxx and Xxxxxxxx LLP, counsel for the Fund Fund, and of Xxxxxxx Xxxx & XxxxxxxxxXxxxxxxxx LLP, counsel to the Advisers, in form and substance satisfactory to counsel for the Underwriters, together with signed or reproduced copies of such letters for each of the other Underwriters as to the matters set forth in EXHIBIT A and EXHIBIT B hereto.
