Common use of Opinions of Counsel for Underwriters Clause in Contracts

Opinions of Counsel for Underwriters. At or before the Closing Time, the Representatives shall have received the favorable opinions and disclosure letters of Xxxxx Xxxx Xxxxxxxx LLP, U.S. counsel for the Underwriters dated as of the Closing Time and in form and substance satisfactory to them, together with signed or reproduced copies of such letter for each of the other Underwriters.

Opinions of Counsel for Underwriters. At or before the Closing Time, the Representatives shall have received the favorable opinions opinion and disclosure letters negative assurance letter, each dated the Closing Time, of Xxxxx Xxxx Xxxxxxxx Shearman & Sterling LLP, U.S. counsel for the Underwriters dated as of the Closing Time and Underwriters, in form and substance reasonably satisfactory to themthe Representatives, together with signed or reproduced copies of such letter for each of the other Underwriters.
