Common use of Opinions of Counsel to Credit Parties Clause in Contracts

Opinions of Counsel to Credit Parties. Administrative Agent and Lenders and their respective counsel shall have received originally executed copies of the favorable written opinions of (i) Xxxxxx, Xxxxx & Xxxxxxx LLP, counsel for Credit Parties, in form and substance reasonably satisfactory to the Administrative Agent and Arranger and (ii) Kreis, Enderle, Xxxxxxx & Xxxxxx, P.C., Michigan counsel for Cello-Foil Products, Inc., in form and substance reasonably satisfactory to Administrative Agent and Arranger, dated as of the Closing Date (and each Credit Party hereby instructs such counsel to deliver such opinions to Administrative Agent and Lenders).

Opinions of Counsel to Credit Parties. Administrative Agent and Lenders and their respective counsel shall have received originally executed copies of the favorable written opinions of (i) XxxxxxWachtell, Xxxxx & Xxxxxxx LLPLipton, counsel for Credit Parties, in form Rosen and substance reasonably satisfactory to the Administrative Agent and Arranger Katz and (ii) KreisKurzman, EnderleEisenberg, Xxxxxxx Lever & XxxxxxGoodman LLP counsex xxx Credxx Xarties, P.C.in the form of Exhibit D and as xx xxxh other matters as Administrative Agent or Syndication Agent may reasonably request, Michigan counsel for Cello-Foil Products, Inc., dated as of the Closing Date and otherwise in form and substance reasonably satisfactory to Administrative Agent and Arranger, dated as of the Closing Date (and each Credit Party hereby instructs such counsel to deliver such opinions to Administrative Agent Agents and Lenders).

Xxxxxxxx, general counsel of the Company, in the form of Exhibit F, and in each case as to such other matters as the Administrative Agent may reasonably request, dated as of the Closing Date and otherwise in form and substance reasonably satisfactory to the Administrative Agent and Arranger and (ii) Kreis, Enderle, Xxxxxxx & Xxxxxx, P.C., Michigan counsel for Cello-Foil Products, Inc., in form and substance reasonably satisfactory to Administrative Agent and Arranger, dated as of the Closing Date (and each Credit Party hereby instructs such counsel to deliver such opinions to Administrative Agent the Agents and the Lenders).

Administrative Agent and Lenders and their respective counsel shall have received originally executed copies of the favorable written opinions of (i) XxxxxxRopes & Xxxx LLP and (ii) Xxxx, Plant, Xxxxx, Xxxxx & Xxxxxxx LLPXxxxxxx, P.A., counsel for Credit Parties, in the form of Exhibit D and as to such other matters as the Agents may reasonably request, dated as of the Closing Date and otherwise in form and substance reasonably satisfactory to the Administrative Agent and Arranger and (ii) Kreis, Enderle, Xxxxxxx & Xxxxxx, P.C., Michigan counsel for Cello-Foil Products, Inc., in form and substance reasonably satisfactory to Administrative Agent and Arranger, dated as of the Closing Date (and each Credit Party hereby instructs such counsel to deliver such opinions to Administrative Agent the Agents and Lenders).

Administrative Agent and The Lenders and their respective counsel shall have received originally executed copies of the favorable written opinions of (i) Xxxxxx, Xxxxx Ropes & Xxxxxxx Gxxx LLP, counsel for the U.S. Credit Parties, (ii) Bxxxxx Xxxxxx Gervais LLP, counsel for the Canadian Credit Parties and (iii) local counsel in form Illinois and substance reasonably satisfactory Nevada, in each case addressed to the Administrative Agent and Arranger the Lenders, as to such matters as Administrative Agent may reasonably request, dated as of the Closing Date and (ii) Kreis, Enderle, Xxxxxxx & Xxxxxx, P.C., Michigan counsel for Cello-Foil Products, Inc., otherwise in form and substance reasonably satisfactory to Administrative Agent and Arranger, dated as of the Closing Date (and each Credit Party hereby instructs such counsel to deliver such opinions to Administrative Agent Agents and Lenders).
