Opinions of Counsel to Credit Parties. The Administrative Agent and its counsel will have received copies of (and each Credit Party hereby instructs such counsel to deliver such opinions to the Administrative Agent and the Lenders) customary legal opinions, each dated as of the Closing Date, of Xxxxxx Xxxxxxxx Xxxxx & Xxxxxxxx LLP, Xxxxx Xxxxxxx Stargatt & Xxxxxx, LLP and DLA Piper LLP, special counsel to the Borrower, with respect to the Borrower and each Guarantor Subsidiary.
