Common use of Opinions of Counsel to Credit Parties Clause in Contracts

Opinions of Counsel to Credit Parties. Agents and Lenders and their respective counsel shall have received originally executed copies of the favorable written opinions, each dated the Closing Date, of Xxxxxx LLP, New York counsel for the Credit Parties, in each case as to such matters as the Administrative Agent may reasonably request and in form and substance reasonably satisfactory to the Administrative Agent (and each Credit Party hereby instructs such counsel to deliver such opinions to the Agents and Lenders).

Opinions of Counsel to Credit Parties. Agents and Lenders and their respective counsel shall have received originally executed copies of the favorable written opinions, each dated the Closing Date, opinion of Xxxxxx Xxxxxxx Xxxx & Xxxxx LLP, special New York counsel for the Credit Parties, in each case the form of Exhibit D and as to such other matters as the Administrative Agent or Syndication Agent may reasonably request request, dated as of the Closing Date and otherwise in form and substance reasonably satisfactory to the Administrative Agent and Syndication Agent (and each Credit Party hereby instructs such counsel to deliver such opinions to the Agents and Lenders).

Agents and Lenders and their respective counsel shall have received originally executed copies of the favorable written opinionsopinions of (i) Milbank, each Tweed, Xxxxxx & XxXxxx LLP, counsel for Credit Parties and (ii) Xxxxxxx Xxxxxxx as general counsel to Company, in the form of Exhibits D-1 and D-2, respectively, dated as of the Closing Date, of Xxxxxx LLP, New York counsel for the Credit Parties, in each case as to such matters as the Administrative Agent may reasonably request Date and otherwise in form and substance reasonably satisfactory to the Administrative Agent (and each Credit Party hereby instructs such counsel to deliver such opinions to the Agents and Lenders).
