Common use of Opinions of Counsel to Loan Parties Clause in Contracts

Opinions of Counsel to Loan Parties. Lenders shall have received executed copies of one or more favorable written opinions of (i) Skadden, Arps, Slate, Xxxxxxx & Xxxx LLP, counsel for Loan Parties and (ii) general counsel to Company, each dated as of the Closing Date and reasonably satisfactory to Administrative Agent and as to such matters as Administrative Agent acting on behalf of Lenders may reasonably request (this Agreement constituting a written request by Company to such counsel to deliver such opinions to Lenders).

Opinions of Counsel to Loan Parties. Lenders shall have received originally executed copies of one or more favorable written opinions of (i) SkaddenJones, ArpsWalker, SlateWaechter, Xxxxxxx Poitevent, Carrère & Xxxx LLPXxxxxxx, L.L.P., counsel for Loan Parties Parties, in form and (ii) general counsel to Company, each dated as of the Closing Date and substance reasonably satisfactory to Administrative Agent and its counsel, dated as to such of the Restatement Date setting forth the matters as Administrative Agent acting on behalf of Lenders may reasonably request (this Agreement constituting a written request by Company to such counsel to deliver such opinions to Lenders).

Lenders shall have received executed copies of one or more favorable written opinions of (i) Skadden, Arps, Slate, Xxxxxxx & Xxxx LLP, counsel for Loan Parties Parties, (ii) Loyens & Loeff, counsel for Co-Borrower, and (iiiii) general counsel to Company, each dated as of the Closing Date and reasonably satisfactory to Administrative Agent and as to such matters as Administrative Agent acting on behalf of Lenders may reasonably request (this Agreement constituting a written request by Company to such counsel to deliver such opinions to Lenders).

Lenders shall have received originally executed copies of one or more favorable written opinions of (i) Skadden, Arps, Slate, Xxxxxxx Xxxxxxxx & Xxxx LLPXxxxxxxx, counsel for Loan Parties Parties, in form and (ii) general counsel substance reasonably satisfactory to CompanyAdministrative Agent and its counsel, each dated as of the Closing Date and reasonably satisfactory to Administrative Agent setting forth substantially the matters in the opinions designated in Exhibit VI annexed hereto and as to such other matters as Administrative Agent acting on behalf of Lenders may reasonably request (this Credit Agreement constituting a written request by Company to such counsel to deliver such opinions to Lenders).

Opinions of Counsel to Loan Parties. Lenders shall have received executed copies of one or more favorable written opinions of (i) Skadden, Arps, Slate, Xxxxxxx & Xxxx LLP, counsel for Loan Parties Parties, and (ii) general Loyens & Loeff, counsel to Companyfor Co-Borrower, each dated as of the Closing Date and reasonably satisfactory to Administrative Agent and as to such matters as Administrative Agent acting on behalf of Lenders may reasonably request (this Agreement constituting a written request by Company to such counsel to deliver such opinions to Lenders).

Lenders shall have received originally executed copies of one or more favorable written opinions of (i) Skadden, Arps, Slate, Xxxxxxx Mxxxxxx & Xxxx Fxxx LLP, counsel for Loan Parties Parties, in form and (ii) general counsel to Company, each dated as of the Closing Date and substance reasonably satisfactory to Administrative Agent and its counsel, dated as to such matters as Administrative Agent acting on behalf of Lenders may reasonably request the Second Amendment Effective Date (this Agreement Amendment constituting a written request by Company to such counsel to deliver such opinions to Lenders).

Opinions of Counsel to Loan Parties. Lenders and their respective counsel shall have received executed copies of one or more the favorable written opinions opinion of (i) Skadden, Arps, Slate, Xxxxxxx Xxxxxx & Xxxx Xxxxxx LLP, special counsel for the Loan Parties Parties, addressed to the Lenders and (ii) general counsel to Company, each Administrative Agent and the Lenders and dated as of the Closing Restatement Date and reasonably satisfactory to Administrative Agent and as to covering such matters as Administrative Agent acting on behalf of the Requisite Lenders may reasonably request and otherwise in form and substance reasonably satisfactory to the Requisite Lenders (this Agreement constituting a written request by Company to and each Loan Party hereby instructs such counsel to deliver such opinions to Administrative Agent and the Lenders).

Lenders shall have received originally executed copies of one or more favorable written opinions of (i) SkaddenXxxxxx & Xxxxxxx, Arps, Slate, Xxxxxxx & Xxxx LLP, counsel for Loan Parties Parties, in form and (ii) general counsel to Company, each dated as of the Closing Date and substance reasonably satisfactory to Administrative Agent and as its counsel, addressed to such matters as Administrative Agent acting on behalf and Lenders and dated as of Lenders may reasonably request the Restatement Date and covering the enforceability of this Agreement (this Agreement constituting a written request by Company to such counsel to deliver such opinions to Lenders).

Lenders shall have received executed copies of one or more the favorable written opinions of (i) Skadden, Arps, Slate, Xxxxxx Xxxxx Xxxxxxxx & Xxxxxxx & Xxxx LLP, special counsel for the Loan Parties Parties, and (ii) general of local counsel to Companyfor the Loan Parties, each dated as of the Closing Date and covering such matters as the Administrative Agent may reasonably request and otherwise in form and substance reasonably satisfactory to the Administrative Agent (and as to such matters as Administrative Agent acting on behalf of Lenders may reasonably request (this Agreement constituting a written request by Company to each Loan Party hereby instructs such counsel to deliver such opinions to the Administrative Agent and the Lenders).

Lenders shall have received originally executed copies of one or more favorable written opinions of (i) Skadden, Arps, Slate, Xxxxxx & Xxxxxxx & Xxxx LLP, special counsel for Loan Parties to Company and (ii) Xxxxx X. Xxxxxxx, general counsel to of the Company, in each case in form and substance reasonably satisfactory to Agents and their counsel, dated as of the Closing Date and reasonably satisfactory to Administrative Agent and as to such matters as Administrative Agent acting on behalf of Lenders may reasonably request June 14, 2006 (this Agreement constituting a written request by Company Loan Parties to such counsel to deliver such opinions to Lenders).
