Common use of Opinions of Counsel to Loan Parties Clause in Contracts

Opinions of Counsel to Loan Parties. Lenders shall have received originally executed copies of one or more favorable written opinions of Sheppard, Mullin, Xxxxxxx & Xxxxxxx LLP, counsel for Loan Parties, in form and substance reasonably satisfactory to Administrative Agent and its counsel, dated as of the Closing Date and setting forth substantially the matters in the opinions designated in Exhibit VII annexed hereto and as to such other matters as Administrative Agent acting on behalf of Lenders may reasonably request (this Agreement constituting a written request by Borrower to such counsel to deliver such opinions to Lenders).

Opinions of Counsel to Loan Parties. Lenders shall have received originally executed copies of one or more favorable written opinions of SheppardXxxxxx & Xxxxxxx, Mullin, Xxxxxxx & Xxxxxxx LLP, counsel for Loan Parties, in form and substance reasonably satisfactory to Administrative Agent and its counsel, addressed to Administrative Agent and Lenders and dated as of the Closing Date and setting forth substantially the matters in the opinions designated in Exhibit VII VIII annexed hereto and as to such other matters as Administrative Agent acting on behalf of Lenders may reasonably request (this Agreement constituting a written request by Borrower Company to such counsel to deliver such opinions to Lenders).

Lenders shall have received originally executed copies of one or more favorable written opinions of Sheppard, Mullin, Xxxxxxx Xxxxxx & Xxxxxxx LLP, special counsel for Loan PartiesHoldings and Company and such other counsel, acceptable to Administrative Agent and its counsel, in form and substance reasonably satisfactory to Administrative Agent and its counsel, dated as of the Closing Date and setting forth substantially the matters in the opinions designated in Exhibit VII IX annexed hereto and as to such other matters as Administrative Agent acting on behalf of Lenders may reasonably request (this Agreement constituting a written request by Borrower Company to such counsel to deliver such opinions to Lenders).

Lenders shall have received originally executed copies of one or more favorable written opinions of Sheppardspecial counsel to Company, Mullin, Xxxxxxx Xxxxxx & Xxxxxxx LLP, and other counsel for Loan Parties, in form and substance reasonably satisfactory to Administrative Agent Agents and its their counsel, dated as of the Closing Restatement Date and setting forth substantially the matters in the opinions designated in Exhibit VII XI annexed hereto and as to such other customary matters as Administrative Agent Agents acting on behalf of Lenders may reasonably request (this Agreement constituting a written request by Borrower Loan Parties to such counsel to deliver such opinions to Lenders).
