Common use of Opinions of Counsel to Loan Parties Clause in Contracts

Opinions of Counsel to Loan Parties. Administrative Agent shall have received on behalf of the Secured Parties an originally executed copies of a favorable written opinion of Xxxxxxxx & Xxxxx LLP, counsel for Loan Parties, in form and substance reasonably satisfactory to Administrative Agent and its counsel, dated as of the Second Restatement Date and substantially in the form of Exhibit V annexed hereto (this Agreement constituting a written request by Parent to such counsel to deliver such opinions to Lenders).

Administrative Agent shall have received on behalf of the Secured Parties an originally executed copies of a one or more favorable written opinion opinions of Xxxxxxxx (i) Xxxxxx & Xxxxx Xxxxxxx LLP, special counsel for Loan Partiesto Company and (ii) Xxxxx X. Xxxxxxx, general counsel of the Company, in each case in form and substance reasonably satisfactory to Administrative Agent Agents and its their counsel, dated as of the Second Restatement Closing Date and substantially in the form of Exhibit V annexed hereto (this Agreement constituting a written request by Parent Loan Parties to such counsel to deliver such opinions to Lenders).

The Administrative Agent shall have received on behalf of the Secured Parties an originally executed copies of a favorable the written opinion of Xxxxxxxx Dxxxx Xxxx & Xxxxx Wxxxxxxx LLP, counsel for Loan Parties, as to such matters as the Administrative Agent may reasonably request, dated as of the Closing Date and otherwise in form and substance reasonably satisfactory to the Administrative Agent (and its counsel, dated as of the Second Restatement Date and substantially in the form of Exhibit V annexed hereto (this Agreement constituting a written request by Parent to each Loan Party hereby instructs such counsel to deliver such opinions opinion to Lendersthe Administrative Agent).
