Opinions of Counsel to Reliant, et al. Written opinions addressed to the Lender of Xxxxxxxxx & Xxxxxxxx LLP, special counsel to the Reliant Retail Obligors (including customary opinions as to “true contribution”, “non-consolidation”, non-contravention of the Reliant Parent Debt Documents and the creation and perfection of Liens on the Collateral), and of in-house counsel to Reliant Parent, in each case dated the Effective Date, and in a form reasonably satisfactory to the Lender.
