Common use of Opinions of Counsel to the Company and the Restricted Subsidiaries Clause in Contracts

Opinions of Counsel to the Company and the Restricted Subsidiaries. The Lenders shall have received favorable opinions of: (i) Xxxxxxxx X. Xxxxxx, Esq., Senior Vice President, Deputy General Counsel and Secretary for the Company and the Restricted Subsidiaries, substantially in the form of Exhibit E hereto; (ii) Xxxxxxxx & Xxxxxxxx LLP, special New York counsel to the Company and the Restricted Subsidiaries, substantially in the form of Exhibit F-1 hereto; and (iii) Schenck, Price, Xxxxx & King, LLP, special New Jersey counsel to the Company and the Restricted Subsidiaries, substantially in the form of Exhibit F-2 hereto; (iv) Xxxxx Xxxxx Xxxx Xxxxxx Xxxxxxx and Xxxxx P.C., special FCC counsel to the Company and the Restricted Subsidiaries, substantially in the form of Exhibit F-3 hereto; and covering such other matters as any Lender or Lenders or special New York counsel to the Administrative Agent, Pillsbury Xxxxxxxx Xxxx Xxxxxxx LLP, may reasonably request (and for purposes of such opinions such counsel may rely upon opinions of counsel in other jurisdictions, provided that such other counsel are satisfactory to special counsel to the Administrative Agent and such other opinions state that the Lenders are entitled to rely thereon).

Opinions of Counsel to the Company and the Restricted Subsidiaries. The Lenders Administrative Agent shall have received favorable opinions of: (i) Xxxxxxxx X. XxxxxxXxxxxx Xxxxx, Esq., Senior Vice President, Deputy General Counsel and Secretary for to the Company and the Restricted Subsidiaries, substantially in the form of Exhibit E EXHIBIT D hereto; (ii) Xxxxxxxx & Xxxxxxxx LLPXxxxxxxx, special New York counsel to the Company and the Restricted Subsidiaries, substantially in the form of Exhibit F-1 EXHIBIT E(1) hereto; and; (iii) SchenckSchenk, Price, Xxxxx & King, LLP, special New Jersey counsel to the Company and the Restricted Subsidiaries, substantially in the form of Exhibit F-2 EXHIBIT E(2) hereto;; and (iv) Xxxxx Xxxxxxx Xxxxxxx & Xxxxx Xxxx Xxxxxx Xxxxxxx and Xxxxx P.C.LLP, special FCC counsel to the Company and the Restricted Subsidiaries, substantially in the form of Exhibit F-3 EXHIBIT E(3) hereto; and covering such other matters as any Lender Bank or Lenders Banks or special New York counsel to the Administrative Agent, Pillsbury Xxxxxxxx Xxxx Xxxxxxx Winthrop LLP, may reasonably request (and for purposes of such opinions such counsel may rely upon opinions of counsel in other jurisdictions, provided that such other counsel are satisfactory to special counsel to the Administrative Agent and such other opinions state that the Lenders Banks are entitled to rely thereon).
