Common use of Opinions of Counsel to the Owner Trustee Clause in Contracts

Opinions of Counsel to the Owner Trustee. Delaware counsel to the Owner Trustee of the Issuer shall have delivered to the Administrative Agent and Buyer favorable opinions regarding the formation, existence and standing of the Issuer and of the Issuer’s execution, authorization and delivery of each of the Transaction Documents to which it is a party and such other matters as the Administrative Agent and Buyer may reasonably request, dated the Closing Date and reasonably satisfactory in form and substance to the Administrative Agent and Buyer and their respective counsel.

Delaware counsel to the Owner Trustee of the Issuer shall have delivered to the Administrative Agent and Buyer favorable opinions regarding the formation, existence and standing of the Issuer and of the Issuer’s execution, authorization and delivery of each of the Transaction Documents to which it is a party and such other matters as the Administrative Agent and Buyer may reasonably request, dated the Closing Date and reasonably satisfactory in form and substance to the Administrative Agent and Buyer Xxxxx and their respective counsel.

Delaware counsel to the Owner Trustee of the Issuer shall have delivered to the Administrative Agent and Buyer favorable opinions regarding a reliance letter, dated as of the date hereof, allowing them to rely upon its opinion letters related to the formation, existence and standing of the Issuer and of the Issuer’s execution, authorization and delivery of each of the Transaction Documents and the Acknowledgment Agreement to which it is a party and such other matters as the Administrative Agent and Buyer may reasonably request, dated the Closing Date request and reasonably satisfactory in form and substance to the Administrative Agent and Buyer and their respective counsel.

Opinions of Counsel to the Owner Trustee. Delaware counsel to the Owner Trustee of the Issuer and Co-Issuer shall have delivered to the Administrative Agent and Buyer favorable Buyers a reliance letter dated the Closing Date allowing them to rely upon certain of their opinions regarding related to the formation, existence and standing of the Issuer and Co-Issuer and of the Issuer’s and Co-Issuer’s execution, authorization and delivery of each of the Transaction Documents and the Acknowledgment Agreement to which it is a party and such other matters as the Administrative Agent and Buyer may reasonably request, dated the Closing Date and reasonably satisfactory in form and substance to the Administrative Agent and Buyer and their respective counsel.

Delaware counsel to the Owner Trustee of the Issuer shall have delivered to the Administrative Agent and Buyer favorable opinions regarding the formation, existence and standing of the Issuer and of the Issuer’s execution, authorization and delivery of each of the Transaction Documents to which it is a party and such other matters as the Administrative Agent and Buyer may were reasonably requestrequested, dated as of the Closing date of the Effective Date and reasonably satisfactory in form and substance to the Administrative Agent and Buyer Agent, the Purchasers and their respective counsel.

Delaware counsel to the Owner Trustee of the Issuer Borrower shall have delivered to the Administrative Agent and Buyer favorable opinions regarding the formation, existence and standing of the Issuer Borrower and of the IssuerBorrower’s execution, authorization and delivery of each of the Transaction Basic Documents to which it is a party and such other matters as the Administrative Agent and Buyer may reasonably request, dated as of the Closing Date and reasonably satisfactory in form and substance to the Administrative Agent and Buyer and their respective counselDate.
