Common use of OPINIONS OF CREDIT PARTIES' COUNSEL Clause in Contracts

OPINIONS OF CREDIT PARTIES' COUNSEL. Lenders and their respective counsel shall have received (i) originally executed copies of one or more favorable written opinions of Skadden, Arps, Slate, Xxxxxxx & Xxxx LLP, counsel for the Credit Parties, in form and substance reasonably satisfactory to Administrative Agent and its counsel, dated the Closing Date and setting forth substantially the matters in the opinions designated in EXHIBIT 5.1(f)(ii)-1 annexed hereto and as to such other matters as Administrative Agent acting on behalf of Lenders may reasonably request, (ii) originally executed copies of one or more favorable written opinions of Stoel Rives LLP, in form and substance reasonably satisfactory to Administrative Agent and its counsel, dated the Closing Date and setting forth substantially the matters in the opinions designated in EXHIBIT 5.1(f)(ii)-2 annexed hereto and as to such other matters as Administrative Agent acting on behalf of Lenders may reasonably request, (iii) originally executed copies of one or more favorable written opinions of such other local counsel to the Credit Parties as Administrative Agent may request in form and substance reasonably satisfactory to Administrative Agent and its counsel, dated the Closing Date and (iv) evidence satisfactory to Administrative Agent that Borrower has requested such counsel to deliver such opinions to Lenders.

Lenders and their respective counsel shall have received (iA) originally executed copies of one or more favorable written opinions of Skadden, Arps, Slate, Xxxxxxx Xxxxxx & Xxxx LLPXxxxxx L.L.P., counsel for the Credit Parties, in form and substance reasonably satisfactory to Administrative Agent and its counsel, dated the Closing Date and setting forth substantially the matters in the opinions designated in EXHIBIT 5.1(f)(ii)-1 Exhibit 5.1(e)(ii)-1 annexed hereto and as to such other matters as Administrative Agent acting on behalf of Lenders may reasonably request, (iiB) originally executed copies of one or more favorable written opinions of Stoel Rives LLP, in form and substance reasonably satisfactory to Administrative Agent and its counsel, dated the Closing Date and setting forth substantially the matters in the opinions designated in EXHIBIT 5.1(f)(ii)-2 Exhibit 5.1(e)(ii)-2 annexed hereto and as to such other matters as Administrative Agent acting on behalf of Lenders may reasonably request, (iiiC) originally executed copies of one or more favorable written opinions of such other local counsel to the Credit Parties as Administrative Agent may request in form and substance reasonably satisfactory to Administrative Agent and its counsel, dated the Closing Date and (ivD) evidence satisfactory to Administrative Agent that Borrower has the Borrowers have requested such counsel to deliver such opinions to Lenders.
