Common use of Opinions Clause in Contracts

Opinions. The Administrative Agent (or its counsel) shall have received one or more reasonably satisfactory written opinions of counsel for the Company, the Portfolio Manager, the Parent and the Seller, covering such matters relating to the transactions contemplated hereby and by the other Loan Documents as the Administrative Agent shall reasonably request (including, without limitation, certain bankruptcy matters) in writing.

Opinions. The Administrative Agent (or its counsel) shall have received one or more reasonably satisfactory written opinions of Dechert LLP, counsel for the Company, the Portfolio Manager, the Parent and the Seller, covering such matters relating to the transactions contemplated hereby and by the other Loan Documents as the Administrative Agent shall reasonably request (including, without limitation, certain bankruptcy matters) in writing.

Opinions. The Administrative Agent (or its counsel) shall have received one or more reasonably satisfactory written opinions of counsel for the Company, the Portfolio Manager, the Parent Company and the SellerServicer, covering such matters relating to the transactions contemplated hereby and by the other Loan Documents as the Administrative Agent shall reasonably request (including, without limitation, certain bankruptcy matters) in writing.

The Administrative Agent (or its counsel) shall have received one or more reasonably satisfactory favourable written opinions (addressed to the Administrative Agent and the other Finance Parties and dated the Effective Date) of each applicable counsel for the Company, the Portfolio Manager, the Parent and the SellerBorrower, covering such matters relating to the transactions contemplated hereby and by Borrower, this Agreement or the other Loan Documents Transactions as the Administrative Agent Required Lenders shall reasonably request (including, without limitation, certain bankruptcy matters) in writingrequest. The Borrower hereby requests such counsel to deliver such opinion.

The Administrative Agent (or its counsel) shall have received one or more reasonably satisfactory written opinions of counsel for the Company, the Portfolio Manager, the Parent Initial Seller and the SellerOHA, covering such matters relating to the transactions contemplated hereby and by the other Loan Documents as the Administrative Agent shall reasonably request (including, without limitation, certain bankruptcy matters) in writing.

The Administrative Agent (or and its counsel) counsel shall have received one or more reasonably satisfactory written opinions of counsel for the Company, the Portfolio Manager, the Parent and the SellerParent, covering such matters relating to the transactions contemplated hereby and by the other Loan Credit Documents as the Administrative Agent shall reasonably request (including, without limitation, certain bankruptcy mattersno violation of the Investment Company Act) in writing. Each opinion shall be in form and substance satisfactory to the Administrative Agent and its counsel.
