OPLLC’s Additional Deliveries Clause Samples

OPLLC’s Additional Deliveries. At or prior to the Effective Time, OPLLC shall deliver or cause to be delivered to Trizec the following: (a) An executed copy of the LLC Agreement as described in Section 1.2 above; (b) Such assignment and assumption agreements as may be deemed necessary and appropriate by Trizec and OPLLC to evidence Trizec’s assignment, and OPLLC’s assumption, of the Assumed Liabilities; (c) Such documents and certificates as Trizec and OPLLC may require to establish the authority of the parties executing any documents in connection with the Transaction Documents and this Agreement; and (d) Such other documents, instruments and certificates as OPLLC and Trizec reasonably agree are necessary or appropriate, including, without limitation, recording and transfer forms and affidavits.
