Opportunity to Review; Reliance. Such Stockholder has had the opportunity to review the APA and this Agreement with counsel of his, her or its own choosing. Such Stockholder understands and acknowledges that Buyer and Parent are entering into the APA in reliance upon such Stockholder’s execution, delivery and performance of this Agreement.
