Employee hereby represents and warrants that he (a) has been given a meaningful opportunity to review this Agreement, and (b) has been encouraged by the Company to receive the advice of counsel with respect to the meaning and effect of each Section of this Agreement. Employee acknowledges that he has voluntarily entered into this Agreement of his own free will based only upon the terms and conditions included in this Agreement.
