Optimization of Workforce Structure. The Warrantors agree to bear, and to reimburse the Purchaser, promptly upon demand, for, 50% of all documented costs (but in no event more than RMB50 million) actually incurred by the Group Companies in connection with the optimization of the existing workforce structure of the Group Companies during the twelve (12)-month period following the Closing, which reimbursement shall first be paid out of the Indemnity Withheld Amount, to the extent any such amount remains.
