On each Option Closing Date, if any, the Representative shall have received the favorable opinion of NMRS, dated as of each Option Closing Date, addressed to the Representative and in form and substance reasonably satisfactory to counsel to the Representative, confirming as of each Option Closing Date, the statements made by NMRS in its opinion delivered on the Closing Date.
