Common use of Optional Pre-payments Clause in Contracts

Optional Pre-payments. This Note may be pre-paid, in whole or in part, at Borrower’s option, without the consent of the Holder; provided, however, that (a) Borrower shall provide written notice to the Holder at least five (5) Business Days prior to such date of pre-payment (the “Pre-Payment Date”) and (b) the Holder may elect to have the outstanding principal amount of and all accrued but unpaid interest under this Note converted upon the Pre-Payment Date pursuant to Section 3(a) below by giving notice to Borrower on or before the Pre-Payment Date.
