Optional Prepayment of Tranche B-1 Term Loans. Each prepayment of Tranche B-1 Term Loans on or prior to the first anniversary of the Amendment Effective Date shall include the Optional Prepayment Premium on such Loans, but solely to the extent that such prepayment is made with the proceeds of Indebtedness the final maturity of which is later or the interest rate of which is lower, in each case, than the Tranche B-1 Term Loans.
