OPTIONEE'S DEATH. If the Optionee's death occurs during a period in which he may exercise options under this Agreement, the Optionee's Representative may exercise the options before their Expiration Date with respect to any or all of the Total Shares Under Option which are available for purchase under this Agreement by the Optionee on the date of his death (taking into account the accelerated vesting provisions of Section 3(b)) and which had not been purchased by him prior to his death.
