Common use of Options or Other Rights Clause in Contracts

Options or Other Rights. (a) There is no outstanding right, subscription, warrant, call, unsatisfied preemptive right, option, contract or other agreement of any kind to purchase or otherwise to receive from Fresh any of the outstanding, unauthorized or treasury shares of the Common Stock of Fresh; and (b) there is no outstanding security of any kind convertible into any common shares of Fresh, and, except as defined herein, there is no outstanding contract or other agreement to purchase, redeem or otherwise acquire any of the Fresh Shares.

Options or Other Rights. (a) There is no outstanding right, subscription, warrant, call, unsatisfied preemptive right, option, contract or other agreement of any kind to purchase or otherwise to receive from Fresh the Vendors or from Estate any of the outstanding, unauthorized or treasury shares of the Common Stock of FreshEstate; and (b) there is no outstanding security of any kind convertible into any common shares of FreshEstate, and, except as defined hereinaforesaid, there is no outstanding contract or other agreement to purchase, redeem or otherwise acquire any of the Fresh Estate Shares.
