ORA Additional Cooperation Sample Clauses

ORA Additional Cooperation. In consideration of the profit participation set forth hereinabove (i) ORA agrees after Closing to provide to Buyer any contacts, inquiries or other communication received by Buyer in connection with the possible sale of the Property, or any portion thereof, and (ii) with respect to any letter of intent, contract, offer or other communication presently in the files of ORA or the Company or received after Closing, ORA agrees after Closing to assist Buyer in connection with Buyer’s review, assessment, negotiation and consummation of any transaction resulting in a Resale as Buyer may choose to pursue. The profit participation set forth hereinabove is in consideration of this agreement and undertaking by ORA and shall not be construed to be a finder’s fee, broker’s fee or similar payment, such profit participation being part of the consideration for the transactions contemplated by this Agreement.
