Common use of Orders, Decrees and Rulings Clause in Contracts

Orders, Decrees and Rulings. Except as described in this Agreement, Seller is not a party to any order, decree or ruling of any court or administrative agency, federal, state or local, nor has Seller any contracts, formal or informal, with any such agency that could materially and adversely affect the ability of Seller to perform its obligations hereunder or conduct its business or the ability of Buyer to own the Acquired Assets and to conduct its business as previously conducted by Seller.
