Neither Buyer nor Adventist Health is a party to any order, decree or ruling of any court or administrative agency, federal, state or local, nor is either a party to any contracts, formal or informal, with any such agency that could materially and adversely affect the ability of Buyer or Adventist Health to perform its obligations hereunder.
