Ordinary Powers. Any resolution or matter placed before Holders at a duly called and held meeting shall be approved provided a simple majority of Holders present or represented by proxy at such meeting, vote in favour, except for the matters set forth in Section 14.11 which shall require approval by Extraordinary Resolution.
