Common use of Organic Changes Clause in Contracts

Organic Changes. In the event that the Company will engage in any Organic Change, the Company shall give written notice thereof to each holder of Warrants not less than thirty (30) days prior to the record date for the determination of the registered holders of Common Stock entitled to receive any consideration in exchange for such Common Stock, which notice shall (i) describe in reasonable detail such Organic Change; (ii) describe in reasonable detail the consideration per share of Common Stock to be received by holders of Common Stock in exchange therefor; (iii) set forth the record date for the determination of the registered holders of Common Stock entitled to receive such consideration; and (iv) set forth the number of shares of Common Stock into which each Warrant is then exercisable.
