Common use of Organisation and Authority Clause in Contracts

Organisation and Authority. (a) The Purchaser duly and validly exists under the laws of Israel and subject to the conditions specified under Section 2.4(a), has all necessary company power and authority to enter into this Agreement, to carry out its obligations hereunder and to consummate the transactions contemplated hereby.

(a) The Purchaser Seller duly and validly exists under the laws of Israel and and, subject to the conditions specified under Section Sections 2.4(a) and 2.4(b)(iii), has all necessary company power and authority to enter into this Agreement, to carry out its obligations hereunder and to consummate the transactions contemplated hereby.
