Organization and Authority of Company. The Company is a corporation duly organized, validly existing and in good standing under the laws of the State of Delaware and has the full corporate power and authority to carry on its business in all material respects as currently conducted. True and complete copies of the Certificate of Incorporation and By-Laws of the Company, as amended to date, have heretofore been made available to Purchaser.

The Company is a corporation duly organizedincorporated, validly existing and in good standing under the laws of the State of Delaware and has the full all requisite corporate power and authority to own, operate and lease its properties and assets and to carry on its businesses in the same manner as such businesses are now being conducted. Company is qualified as a foreign corporation to do business in all Arizona, Texas and Oklahoma, which are the only other jurisdictions where it is required to be so qualified and the failure to do so would have a material respects adverse effect on its business, property or ability to conduct its business as currently conducted. True and complete copies of the Certificate of Incorporation and By-Laws of the Company, as amended to date, have heretofore been made available to Purchaser.
