Common use of Organization and Continuation Clause in Contracts

Organization and Continuation. The Company was organized on the Filing Date and shall continue in perpetuity unless terminated in accordance with Article XII. The Company shall cause to be filed such certificates and documents as may be necessary or appropriate to comply with the Act and any other applicable requirements for the organization, continuation and operation of a limited liability company in accordance with the laws of the State of Delaware and any other jurisdictions in which the Company shall conduct business, and shall continue to do so for so long as the Company conducts business therein.
