Common use of Organization and Existence Clause in Contracts

Organization and Existence. Borrower is duly organized and validly existing as a limited liability company in good standing under the laws of Delaware and is in good standing in all other jurisdictions in which Borrower is transacting business. Borrower has the power and authority to execute, deliver and perform the obligations imposed on it under the Loan Documents and to consummate the transactions contemplated by the Loan Documents.

Organization and Existence. Each Borrower is duly organized and validly existing as a limited liability company in good standing under the laws of Delaware and is in good standing in all other jurisdictions in which Borrower is transacting business. Each Borrower and any managing member have delivered to Lender true and correct copies of their organizational documents and there are no other documents or agreements which supplement, amend or otherwise modify such organizational documents.
