Organization and Good Standing; Authority. Seller has been duly organized and is validly existing in good standing under the laws of its jurisdiction of organization. Seller has the power and authority to execute and deliver this Agreement and to perform its obligations hereunder. The execution and delivery of this Agreement, and the performance of Seller's obligations hereunder, have been duly authorized by all necessary corporate, partnership or trust action (as the case may be) on the part of Seller.
