Organization and Operation. Practice, as a continuing condition of -------------------------- Business Manager's obligations under this Management Services Agreement, shall at all times during the Term be and remain legally organized and operated to provide Medical Services in a manner consistent with all state and federal laws.
Organization and Operation. Provider shall retain ultimate legal responsibility for the proper operation of the Provider. Provider, as a continuing condition of OSMI’s obligations under this Agreement, shall at all times during the Term be and remain legally organized and operated to provide physician services. Provider also will ensure that it is organized as a “group practice” as that term is defined in the Xxxxx Act (42 U.S.C. § 1395nn(b)(2)) and regulations promulgated pursuant thereto (42 C.F.R. § 411.355(b)), both as amended from time to time, including but not limited to the “Special Rules for Profit Shares and Productivity Bonuses” attached as Attachment A. Provider also will be operated in a manner that qualifies Provider’s provision of DME to Provider patients for the “in-office ancillary services exception,” as defined by such regulations.
Organization and Operation. PC, as a continuing condition of Business Manager's obligations under this Management Services Agreement, shall at all times during the Term be and remain legally organized and operated to provide Dental Services in a manner consistent with all State and federal laws. PC shall operate and maintain within the Practice Territory a full time practice of dentistry specializing in the provision of Dental Services.
Organization and Operation. Section 1 ECHO Board of Directors The ECHO Board of Directors (hereinafter “the Board”), shall assume a leadership role. The responsibilities of the Board shall include but not be limited to those duties stated in Article II, Section B – Duties.
Organization and Operation. Medical Group, as a continuing condition of URLLC’s obligations under the Agreement, shall at all times during the Term be and remain legally organized and operated to provide medical services in a manner consistent with all applicable state and federal laws.
Organization and Operation. The commissioners shall select a president and a secretary. They shall have the services of the city engineer and may employ and fix the compensation of such subordinates as necessary. The commissioners shall make rules for their proceedings and their department and keep books of account as prescribed by the public service commission, which shall be available to the public. They shall keep full and accurate minutes of their proceedings and transactions, and make a monthly report to the council and such other reports as the council may require.
Organization and Operation. The Committee shall elect a Chairman and a Secretary and such other officers as it shall deem appropriate. The Committee shall act by majority vote of its members, which may be taken with or without a meeting, provided a written record signed by a majority of its members is made of any action taken without a meeting. The Committee shall keep a permanent record of its meetings and actions. The Committee may authorize one or more of its members, or a person who is not a member, to execute documents on behalf of the Committee.
Organization and Operation. ASA, as a continuing condition of PSAS’s obligations under this Agreement, shall at all times during the term be and remain legally organized and operated to provide ASA Services in a manner consistent with all applicable state and federal laws.
Organization and Operation. The Practice, as a continuing condition of Business Manager's obligations under this Business Management Agreement, shall at all times during the Term be and remain legally organized and operated to provide Professional Eye Care Services in a manner consistent with all State, federal and local laws. The Practice shall operate and maintain within the Practice Territory a full-time practice of ophthalmology specializing in the provision of Professional Eye Care Services and shall maintain and enforce employment agreements in the form of Exhibit 4.1A with the Shareholders of the Practice specified in Exhibit 4.1B; provided, however, that after the expiration of such employment agreements, and in the event that such Shareholders continue a relationship with the Practice thereafter, the Practice shall maintain and enforce employment agreements with such Shareholders and all future Shareholders in the form of Exhibit 4.1C. Shareholders agree and the Practice shall take steps to obtain the executed employment agreements in the form of Exhibit 4.1C from such Shareholders after the five (5) year period and all future Shareholders during the entire term of this Agreement if the Shareholder elects to continue his relationship. After five (5) years from the effective date of this Agreement, or earlier in the event of death or permanent disability, a Shareholder may choose a successor to replace him as a Shareholder. A Shareholder who wishes to have a successor replace him as a Shareholder must first demonstrate to and obtain consent from Business Manager that the successor is licensed to practice ophthalmology in the
