Employment of Physicians. Subject to consultation with the Joint Planning Board, in the event a decision is made by the Group to employ additional physicians, if requested by the Group, Administrator will assist the Group in the identification and selection of physicians or physician groups or practices that may be beneficial in the operation of the Practice. Subject to consultation with the Joint Planning Board, in the event that a decision is made by the Group to pursue the employment of selected physicians, if requested by the Group, Administrator will provide recruiting, consulting, negotiating and other advisory services in connection with such transaction. Notwithstanding the preceding, as set forth in and subject to the provisions of Section 4.1 hereof, the Group shall have complete control of and responsibility for the hiring of all Physician Employees and Physician Extender Employees.
Employment of Physicians. (i) Practice shall operate and maintain within the Practice Territory a full-time practice of medicine specializing in the provision of Medical Services, and shall maintain and enforce employment agreements in the form of Exhibit 5.1 (the "Employment Agreements") with Physician- ----------- Shareholders, including, without limitation, the initial Physician- Shareholders identified in Exhibit 5.1A. Practice shall not amend the ------------ Employment Agreements in any material manner or waive any material rights of Practice thereunder without the prior written approval of Business Manager. Recognizing that Business Manager would not have entered into this Management Services Agreement but for Practice's covenant to maintain Employment Agreements with Physician-Shareholders, and subject to subparagraph (ii) below, Practice shall pay to Business Manager, in addition to the Management Fee, any damages, compensation, payment or settlement received by Practice from a Physician who terminates his or her Employment Agreement without Physician Cause (as defined in the Employment Agreement) or whose Employment Agreement is terminated by Practice for Practice Cause (as defined in the Employment Agreement) or for any other material breaches of the Employment Agreements (such damages being collectively referred to herein as the "Business Manager Damages").

The Clinic or RHS, as applicable, shall be responsible for the payment of such physician employees' salaries and wages, benefits, payroll taxes and all other taxes and charges now or hereafter applicable to them. The Clinic shall also be responsible solely for the cost of physicians' membership in professional associations, and their continuing professional education. With respect to physicians, the Clinic shall only employ and contract with licensed physicians meeting applicable credentialing guidelines established by the Clinic.

Group shall also be responsible solely for the cost of physicians' membership in professional associations, and their continuing professional education. With respect to physicians, Group shall only employ and contract with licensed physicians meeting applicable credentialing guidelines established by Group. Group shall consider guidelines suggested by SynerPhy from time to time in establishing the duties and responsibilities of the officers of Group and shall also consider guidelines suggested by SynerPhy for the development and implementation of a succession plan that contemplates the efficient transition of leadership for Group upon the death, disability, resignation, removal or other termination of the key leadership positions of Group.
