Organization and Power; Due Authorization. The Seller has full right, power, and authority to enter into this Agreement and to assume and perform all of its obligations under this Agreement; and the execution and delivery of this Agreement and the performance by the Seller of his obligations hereunder and require no further action or approval of any other individuals or entities in order for this Agreement to constitute a binding and enforceable obligation of the Seller. This Agreement and each agreement, document and instrument executed and delivered by or on behalf of the Seller pursuant to this Agreement constitutes, or when executed and delivered, constitute, will constitute, the legal, valid and binding obligation of the Seller, each enforceable against the Seller in accordance with its terms, except as such enforceability may be limited by bankruptcy or the application of equitable principles.
