Organization and Qualification of the Buyer. The Buyer is a corporation validly existing and in good standing under the laws of the State of New Jersey and has all requisite corporate power and authority to (a) own, lease and operate its properties and assets as they are now owned, leased and operated and (b) carry on its business as now presently conducted and is duly qualified to do business in each jurisdiction in which the nature of its business or properties makes such qualification necessary.
